Event Participant Terms And Conditions
These terms and conditions (the ‘Terms’) apply to all Participants at Events (in each case as defined below) held by Wall Street Prep Inc and its Group of companies (‘The Group’). Your attendance at an Event indicates your agreement to these Terms.
Definitions:
In these Terms, the following capitalised words and expressions have the meanings set out against them below:

| Ancillary Terms | Any supplementary terms and conditions which may be applicable to an Ancillary Event. |
| Anti-Bribery Legislation | The US Foreign Corrupt Practices Act 1977,
UK Bribery Act 2010, The Economic Crime and Corporate Transparency Act 2023 and any other applicable anti-bribery legislation. |
| Business Day | “Business Day” refers to Monday through Friday in the UK and US, and Sunday through Thursday in Saudi Arabia, excluding public holidays. |
| Content | Materials, data, information and products provided by The Group or its Event partners at, relating to or forming part of the Event. |
| Data Protection Laws | “Data Protection Laws” means any laws and regulations relating to the processing, privacy and use of personal data in connection with or pursuant to these Terms, including, without limitation:
(a) to the extent applicable, the UK GDPR and the Data Protection Act 2018, and any other law of the United Kingdom or any part of the United Kingdom relating to the protection of personal data; (b) to the extent applicable, the EU GDPR, and any law of the European Union or any Member State of the European Union to which the parties are subject relating to the protection of personal data; and (c) in the United States, the California Consumer Privacy Act of 2018 (CCPA) and the California Privacy Rights Act of 2020 (CPRA), in each case as amended or replaced from time to time. |
| Event | Events operated by or on behalf of The Group, including seminars, webinars, meetings, workshops, networking Events, award dinners, public training, private or bespoke training, and Online Events. |
| Event Confirmation | Our written (including digital) confirmation of your registration for a place at that Event. |
| Event Dates | The dates on which the Event is scheduled to take place. |
| Event Marks | Trademarks and service marks owned by or licensed to The Group relating to the Event. |
| Event Venue | The venue at which a physical Event is held. |
| Fee | The fee payable by a Participant to attend an Event. |
| Force Majeure | Means any circumstance beyond The Group’s reasonable control that materially affects the Event or makes it inadvisable, impracticable, illegal, or impossible to host or perform its obligations under these Terms. This includes Events affecting Participants in their home countries that prevent a significant proportion of Participants from attending. |
| Intellectual Property Rights | Patents, rights to inventions, copyright and neighbouring and related rights, moral rights, trademarks and service marks, business names and domain names, goodwill and the right to sue for passing off or unfair competition, rights in designs, rights in computer software, database rights, rights to use, and protect the confidentiality of, confidential information (including know-how and trade secrets), and all other intellectual property rights, in each case whether registered or unregistered and including all applications and rights
to apply for and be granted, renewals or extensions of, and rights to claim priority from, such rights. |

| Online Event | An online, virtual or non-physical conference, exhibition, convention, congress, summit, seminar, webinar, meeting, workshop, award dinner, public training, private or bespoke training or other Event. |
| Online Event Platform | Any website, platform, forum or other online environment used by The Group for the purposes of hosting an Online Event. |
| Online Event Platform Terms | Any additional terms and conditions applicable to registration to and/or attendance at an Event on an Online Event Platform. |
| Participant/You/Your | An individual who attends an Event in any capacity other than as a representative of The Group or of the Event Venue or Online Event Platform. |
| Registration Details | The personal data provided by participants when they register to attend an Event. |
| Software | The online software applications made available for access or download from our or our supplier’s or Event partner’s websites in relation to any Event or Content. |
Registration for Events
2.1 Successful registration for an Event entitles you to attend the Event as a Participant, subject to these Terms. Any optional additional services or features may be charged separately from the standard registration fee.
2.2 Full registration details for each Participant must be submitted to us before the Event begins. We reserve the right to refuse entry to any person whose details do not appear on our official records.
2.3 Where you register for an Event on behalf of a member of your group of companies or other organisation “Group”), you confirm that you have the authority to accept these Terms on its behalf. You are also responsible for ensuring that all Participants from that Group or organisation attending the Event are informed of and agree to be bound by these Terms.
2.4 When registering for an Event, you must ensure that all Registration Details provided are accurate and complete. You are responsible for notifying us of any changes to this information, including changes to your email address, by updating your details in the relevant section.
2.5 You are responsible for notifying us of any special access or dietary requirements at the time of registration and, in any Event, no later than two Business Days before the Event. While we will use reasonable efforts to accommodate such requests, we cannot guarantee that requests submitted less than two Business Days before the Event, or requests that cannot reasonably be met, will be fulfilled.
2.6 All Event registrations are subject to availability and acceptance by The Group, which may be granted or refused at The Group’s absolute discretion.
2.7 Event passes may not be sold, transferred, or shared. Registered Participants may be substituted with another individual at no additional cost, provided notice is given in advance.
Attendance Requirements
3.1 Each Participant is required to:
- Full payment of all applicable Fees is required 28 days before the date of the Event. If payment is incomplete, unsuccessful, or declined for any reason, The Group reserves the right to refuse entry to the Event or deny access to any Online Event Platform.
- Comply with all applicable rules, policies, and procedures of the Event venue, including health and safety requirements, and follow any reasonable instructions issued by The Group, the venue management, or the Online Event Platform;
- Conduct themselves in a professional, respectful, and appropriate manner, and not engage in any behaviour that violates applicable laws or regulations or could reasonably bring the Event or The Group into disrepute;
- Arrange and maintain appropriate insurance coverage for their individual needs, including personal accident and travel insurance, before attending the Event;
- Ensure that they hold all required travel documentation, including visas and entry permits, and that they comply with all applicable health requirements and laws of the country in which the Event is held; and
- Attendance at, and travel to and from, an Event is undertaken at your own risk and expense, except as expressly stated in clause 9.4.
Participant Obligations
4.1 The Group may, at its sole discretion and without liability, refuse entry to any Participant, remove a Participant from an Event, or restrict or block access to an Online Event Platform for any reason.
4.2 You agree to be responsible for any loss, damage, or expense incurred by The Group, the Event venue, the Online Event Platform, or other Participants arising from your actions or failure to comply with these Terms while attending an Event. In such cases, no refund of Fees will be payable.
Fees
5.1 All Fees are exclusive of any applicable value-added tax (VAT) or similar sales taxes. Where VAT or other sales taxes apply, Participants shall be responsible for paying the additional amounts charged in respect of such taxes.
5.2 Fees are charged in accordance with the fee schedule in effect at the time registration is completed, provided payment is made in full before the relevant fee expiry date. If full payment is not received before a new fee schedule takes effect, the applicable Fee will be the rate in force on the date payment is received.
5.3 All Fees must be paid in full without set-off, counterclaim, deduction, or withholding, except where such deduction or withholding is required by law.
5.4 The Group shall not be liable for any travel, accommodation, visa, insurance or related costs incurred by Participants in connection with attending the Event. The participants are all fully responsible for these costs.
Intellectual Property Rights
6.1 Limited Use of Content
Participants are granted a limited, non-exclusive, non-transferable licence to access and use the Content solely for personal, non-commercial purposes. Content may not be copied, reproduced, distributed, sold, or otherwise exploited without The Group’s prior written consent.
Participants must not record, reproduce, distribute, transmit, or use any Content (including via AI tools, scraping, or automated means) for commercial or non-personal purposes without prior written consent from The Group.
6.2 Event Marks
All Event trademarks, logos, and branding (“Event Marks”) are the property of The Group. Participants may not use, reproduce, or modify any Event Marks without The Group’s prior written approval.
6.3 Requests for Permission
Any request to reproduce, republish, reprint, or otherwise use Content or Event Marks must be submitted in writing by email to the Event contact provided in your Event Confirmation. Permission, if granted, will be at The Group’s sole discretion.
6.4 Software
Any software provided in connection with an Event (“Software”) is owned by The Group or its licensors. Your use of the Software is governed by the terms of any licence agreement accompanying or included with the Software. You must not install, access, or use the Software unless you accept and comply with the terms of the applicable licence agreement.
Technical Support for Online Events
7.1 Equipment and Access
You are responsible for providing any equipment, internet connection, or services required to access or use an Event or Content, and for paying any related charges. The Group does not guarantee the speed, quality, or continuous availability of your equipment or connection.
7.2 System Compatibility
For Online Events (including webinars, virtual Events, or online forums), you must ensure your devices and systems are compatible with The Group’s technology or the Online Event Platform before registering.
7.3 Technical Limitations
The Group is not responsible for technical issues caused by incompatible systems, internet service providers, or other factors beyond our control. Online Content may be temporarily unavailable due to maintenance, repairs, or technical issues affecting The Group’s systems or platforms.
Access to Online Events
8.1 Online Event Access
Participants who register for Online Events or Events granting access to online Content will receive instructions for accessing the platform. Attendance may be subject to additional Online Event Platform Terms, and by attending, you agree to those Terms.
8.2 No Sharing of Access Instructions
Unless explicitly authorised by The Group in writing, access instructions, including any usernames, passwords, access links, or other credentials provided to you, must not be shared with anyone, including colleagues, employees, partners, agents, or representatives. Multiple users may not use the same access credentials on a network.
8.3 Responsibility for Access
You are responsible for all activity conducted using the access instructions provided to you, including any usernames and passwords. You must take reasonable steps to prevent unauthorised use. If you suspect any breach of security, including theft, loss, or unauthorised use of your access instructions or payment information, you must notify the support contact listed in your Event Confirmation immediately.
8.4 Interactive Areas
Online Events may include discussion forums, virtual meeting rooms, and other interactive areas (“Interactive Areas”). The Group does not control and is not responsible for content posted in these areas by Participants or Sponsors (“User-Generated Content”). All use of Interactive Areas is at your own risk, and The Group does not guarantee the accuracy or reliability of any User-Generated Content.
8.5 License to Use User-Generated Content
By posting User-Generated Content, you grant The Group a non-exclusive, perpetual, royalty-free license to use, reproduce, modify, or sub-license your content. The Group may delete, move, or edit any User-Generated Content without notice. To the extent permitted by law, you waive any moral or similar rights in your content.
8.6 Responsibility for Content
You are responsible for all User-Generated Content you post and must comply with the rules set out below. The Group is not obligated to monitor content in Interactive Areas.
8.7 Restrictions on Content
You may not post, link, upload, download, send, distribute, or otherwise use content in Interactive Areas that:
(a) is confidential, infringes intellectual property or privacy rights, or breaches the rights of any third party;
(b) is offensive, threatening, abusive, indecent, defamatory, or obscene;
(c) is unlawful;
(d) constitutes unsolicited advertising or promotional material;
(e) contains viruses, malware, or harmful components; or
(f) constitutes advice, including investment advice.
8.8 Prohibited Uses
You may not use Interactive Areas to:
(a) engage in unlawful activity;
(b) impersonate any person, company, group, or entity, or misrepresent your relationship with them; or
(c) collect, store, disclose, or process personal data without the express consent of the relevant individual.
8.9 Indemnity
You agree to indemnify, defend and hold harmless The Group from any losses, damages, costs or expenses arising out of: (a) your breach of these Terms; (b) your negligence or misconduct; (c) your violation of any applicable law; and (d) any User-Generated Content you provide.
Event Changes, Cancellation, and Substitution
9.1 Changes to Events
While Event programs are accurate at the time of publication, The Group may, at its discretion, modify the format, Content, venue, speakers, hosts, moderators, or timing of an Event, including converting a physical Event to an Online Event. The Group will use reasonable endeavours to notify Participants of any such changes in advance.
9.2 Substitutions by Participants
Participants may nominate a substitute to attend in their place, subject to written notification and compliance with these Terms. Registration details for any substitute must be submitted at least two Business Days before the Event.
9.3 Company Cancellation or Postponement
In exceptional circumstances, The Group may cancel or postpone an Event. In the Event of cancellation, Participants will receive a full refund of the fees paid. In the Event of postponement, Participants will be offered the option to attend the rescheduled Event or, if unable to do so, receive a full refund of Fees paid. The Group liability in such cases is limited to the Fees paid for the affected Event and does not extend to any other losses or expenses incurred by Participants.
9.4 Refunds
Refunds will be issued to the original payment method.
9.5 Notification
Participants will be notified of any significant Event changes, cancellations, or postponements via the contact information provided at registration.
Data Processing
Definitions
In this clause, “personal data” and “processing” have the meanings given under applicable Data Protection Laws.
10.1 Compliance and Purpose
The Group will:
(a) comply with all applicable requirements of Data Protection Laws; and
(b) process any personal data obtained or held about Participants under these Terms only as necessary to fulfill its obligations and in accordance with its Privacy Notice or as otherwise permitted by law.
10.2 Use of Personal Data
Your personal data may be used to provide services related to the Event, including but not limited to: registration, communications, Event access, dining, hotel bookings, administration (before, during, and after the Event), invoicing and payment, delegate lists, post-Event feedback, quality checks, Participant verification (including sanctions and trade control checks), research, and polling.
10.3 Sharing of Personal Data
To deliver Event services, The Group may share relevant personal data with presenters, Event venue management, the Online Event Platform, trainers, organisers, print providers, finance partners, Event service providers, connected communities, faculties, committees, and external delivery partners. Personal data may also be shared with Event Sponsors, including those based outside your territory, in accordance with our Privacy Notice.

Force Majeure
11.1 Rescheduling or Switching to Online
If a Force Majeure Event occurs, The Group will use reasonable endeavours to either:
(a) Reschedule the Event; or
(b) Convert the Event from a physical Event to an Online Event.
Any rescheduled or online Event will, where possible, take place within two months of the original Event dates.
11.2 Refunds
If the Event cannot be rescheduled or held online, The Group will refund Participant Fees as soon as reasonably practicable and, in any Event, within 60 days of the notice of cancellation.
11.3 Limitation of Liability
Except for the obligation to refund Fees under clause 9, The Group will not be liable for any losses, damages, or compensation arising from Force Majeure.
The Group may modify, reduce or adapt the Event format without liability. No liability shall arise for reduced content, format changes, or partial performance due to Force Majeure.
Limitation of liability
12.1 Legal Limits
Nothing in these Terms limits or excludes The Group’s liability for:
(a) death or personal injury caused by our negligence;
(b) fraud or fraudulent misrepresentation; or
(c) any other liability that cannot be limited or excluded under applicable law.
12.2 Use of Content
Your access to any Event and use of any Content is at your sole risk. All Content is provided “as is” and “as available” for general information only. Any advice, opinion, statement, or other information forming part of the Content is not tailored to your individual circumstances and does not constitute investment, financial, or other professional advice. You should obtain independent advice before making any decisions based on the Content.
12.3 No Warranties
Except as expressly stated in these Terms, The Group makes no representations or warranties, express or implied, regarding the Event, the Content, or any associated services.
12.4 Exclusion of Indirect Losses
Subject to clause 14.1, The Group is not liable for any indirect, special, or consequential losses arising out of or in connection with these Terms or your attendance at an Event.
12.5 Total Liability
Subject to clause 12.1. The Group’s total liability to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, arising from or in connection with these Terms shall not exceed the total Fees paid or payable by you under these Terms.
Anti-Bribery & Corruption
13.1 Compliance
You agree to comply with all applicable anti-bribery and anti-corruption laws and regulations (“Anti-Bribery Legislation”).
13.2 Prohibited Conduct
You must not, directly or indirectly, offer, give, promise, authorise, or make any payment or transfer of anything of value to:
(a) any government official, employee, agency, state-owned or controlled entity, or public international organisation; or
(b) any other person at the request, direction, or for the benefit of any such person,
where such payment or transfer is intended to influence an official act or decision, secure an improper advantage, obtain or retain business, or otherwise violate Anti-Bribery Legislation.
13.3 Representations
You represent and warrant that neither you nor, to your knowledge, any person acting on your behalf has:
(a) violated or violates any applicable Anti-Bribery Legislation;
(b) made or authorised any bribe, kickback, facilitation payment, rebate, payoff, or other improper payment or gift (including meals or entertainment) to any government official, political party, political candidate, supranational organisation, royal family member, or any associated person, for the purpose of influencing any act or decision or securing an improper advantage (“Prohibited Payments”); or
(c) been the subject of any governmental investigation relating to any actual or alleged Prohibited Payment.
Trade Sanctions
14.1 Sanctions Compliance
You represent and warrant that neither you nor, to your knowledge, any person acting on your behalf:
(a) is listed on the U.S. Office of Foreign Assets Control (“OFAC”) Specially Designated Nationals and Blocked Persons List, or any similar list maintained by the United Nations, the United Kingdom, the European Union, or any other relevant authority;
(b) conducts or has conducted business with, or involving, any sanctioned government, country, person, entity, or project subject to sanctions administered by OFAC or equivalent sanctions imposed by the United Nations, the United Kingdom, the European Union, or any other relevant authority (“Sanctions”);
(c) supports, facilitates, or plans to support or facilitate any activity prohibited by Sanctions; or
(d) is or has been subject to any investigation or enforcement action relating to Sanctions.
14.2 Eligibility to Attend
Each Participant warrants that they are legally entitled to attend the Event and are not subject to any Sanctions, trade controls, or other restrictions that would prohibit or restrict their attendance.
Assignment
15.1 Group Rights
The Group may, without your consent, assign, transfer, or subcontract any of its rights or obligations under these Terms to any Group Company or to any entity acquiring all or a substantial part of The Group’s business or assets.
15.2 Event Delivery
The Group may subcontract the delivery of an Event to any Group responsible for the relevant information, publication, or data product associated with that Event.
15.3 Participant Restrictions
You may not assign, sublicense, or otherwise transfer any of your rights or obligations under these Terms without The Group’s prior written consent.
Ancillary Events
The Group may offer Participants the opportunity to attend an Ancillary Event, in which case specific Ancillary Terms may apply. Such Ancillary Terms shall be contained in the materials provided to you when you register to attend an Ancillary Event and shall apply in addition to these Terms.
If there is any inconsistency between these Terms and any applicable Ancillary Terms, the Ancillary Terms shall take precedence in relation to the Ancillary Events.
Amendment
The Group may update these Terms from time to time. Any amendments will be published on the Event website and will take effect immediately upon posting. You will be deemed to have accepted the amended Terms by attending the Event. If you do not agree to the amendments, you must cancel your attendance in accordance with clause 11.
Entire Agreement
These Terms, together with the Privacy Policy and any applicable ancillary Event terms or registration materials, constitute the entire agreement between you and The Group in relation to your attendance at the Event and supersede all prior agreements, understandings, representations, and communications, whether written or oral, relating to that subject matter.
Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of England and Wales, and the English courts shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms.
